Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Norvia Health platform, including the website, clinical operations portal, patient care portal, and all related services (collectively, the “Service”) provided by Norvia Health, Inc. (“Norvia,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility and Accounts
You must be at least 18 years old and authorized by a healthcare organization to create a staff account. Patient portal access is provided through secure invitation links from your healthcare provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2. Description of Service
Norvia Health provides a clinical operations platform for outpatient clinics and surgical centers. The Service includes case management, scheduling coordination, patient communication tools, document management, compliance tracking, and analytics. The Service is designed to complement — not replace — electronic health record (EHR) systems.
3. Acceptable Use
You agree not to:
- Use the Service for any purpose other than authorized clinical operations and patient care coordination
- Access or attempt to access another user's account or patient records without authorization
- Upload malicious software, spam, or content that violates applicable laws
- Use the Service to transmit unsolicited marketing or non-care-related communications to patients
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Circumvent or disable security features, access controls, or audit logging
4. Healthcare Disclaimer
Norvia Health is an operational platform, not a medical device or clinical decision support system. The Service does not provide medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the responsibility of licensed healthcare providers. AI-assisted features (such as autofill and translation) are provided as convenience tools and must be reviewed by qualified staff before use.
5. Data Ownership and Responsibility
Healthcare organizations retain ownership of all patient data and clinical information entered into the Service. Norvia processes this data on behalf of the healthcare organization as a Business Associate under HIPAA. Each healthcare organization is responsible for ensuring that its use of the Service complies with applicable privacy laws and regulations, including obtaining patient consent for communications.
6. Communications and Messaging
The Service enables authorized clinic staff to send communications to patients via SMS, email, fax, and the patient portal. By using these features, the healthcare organization represents that it has obtained appropriate consent from patients for such communications. Messaging is subject to our SMS Consent policy. Norvia is not responsible for communications initiated by clinic staff that are non-compliant with applicable regulations.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. We are not liable for interruptions caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.
8. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Norvia Health and protected by intellectual property laws. Your use of the Service does not grant you ownership of any intellectual property rights in the Service. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Norvia Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, or profits. Our total liability for any claim arising from the Service shall not exceed the fees paid by your organization in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Norvia Health from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including patient privacy rights.
11. Termination
Either party may terminate use of the Service in accordance with the applicable subscription agreement. We may suspend or terminate access immediately if we reasonably believe you have violated these Terms or applicable law. Upon termination, we will provide a reasonable period for data export as specified in your subscription agreement.
12. Changes to Terms
We may modify these Terms from time to time. We will notify registered users of material changes via email or in-platform notification at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New Jersey.
